Please read this Terms of Use Agreement ("Agreement") carefully. This Agreement is a legal contract between you ("User") and Larte AI, Inc. ("Larte," "We," "Our," or "Us").

By accessing or using this website, installing or using our application(s), registering an account, or accessing or using any content, information, services, features, or resources available via the platform (collectively, the "Services"), you agree to be bound by this Agreement.

1. Use of the Services

1.1 Services. The Services are protected by copyright laws throughout the world. Subject to this Agreement, Larte grants you a limited license to use the Services for your personal and/or professional purposes.

1.2 Updates. You understand that the Services are evolving. As a result, Larte may require you to accept updates to the Services. You acknowledge and agree that Larte may update Services with or without notifying you.

1.3 Certain Restrictions. The rights granted to you in this Agreement are subject to the following restrictions: (a) you shall not license, sell, rent, lease, transfer, assign, reproduce, distribute, host, or otherwise commercially exploit the Services; (b) you shall not modify, translate, adapt, merge, make derivative works of, disassemble, decompile, reverse compile, or reverse engineer any part of the Services; (c) you shall not access the Services in order to build a similar or competitive website, application, or service.

2. Registration

2.1 Registering Your Account. In order to access certain features of the Services, you may be required to register an account. You agree to provide true, accurate, current, and complete information about yourself as prompted by the registration form and to maintain and promptly update the registration data to keep it accurate.

2.2 Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify Larte of any unauthorized use of your account.

3. Your Content

3.1 User Content. You are solely responsible for all data, information, and materials that you upload, post, or otherwise transmit via the Services ("User Content"). You retain ownership of your User Content, but grant Larte a worldwide, non-exclusive license to use, reproduce, and display your User Content solely for the purpose of providing the Services.

3.2 Prohibited Content. You agree not to upload, post, or transmit any User Content that: (a) infringes any intellectual property rights; (b) is unlawful, threatening, abusive, or harmful; (c) contains viruses or malicious code; (d) violates the privacy of any third party.

4. Our Content

4.1 Larte Content. Except for User Content, all content available through the Services, including text, graphics, logos, icons, images, audio clips, and software, is the property of Larte or its licensors and is protected by intellectual property laws.

4.2 Creator Data. The Services provide access to creator profiles, metrics, and contact information sourced from publicly available data and third-party providers. This data is provided for informational purposes and you agree to use it in compliance with applicable laws and platform terms of service.

5. Payment Terms

5.1 Subscription Plans. Access to certain features of the Services requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis depending on your selected plan.

5.2 Free Trial. Larte may offer a free trial period. At the end of the trial, you will be required to select a paid plan to continue accessing premium features.

5.3 Automatic Renewal. Subscriptions automatically renew unless cancelled before the end of the current billing period. You may cancel your subscription at any time through your account settings.

5.4 Refunds. All fees are non-refundable except as expressly set forth in this Agreement or as required by applicable law.

6. Termination

6.1 Termination by You. You may terminate your account at any time by contacting us at support@larte.ai or through your account settings.

6.2 Termination by Larte. Larte may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Reasons for termination may include violation of this Agreement, fraudulent activity, or extended periods of inactivity.

6.3 Effect of Termination. Upon termination, your right to use the Services will immediately cease. All provisions of this Agreement that by their nature should survive termination shall survive.

7. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. LARTE DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Larte does not warrant that the Services will be uninterrupted, error-free, or secure. Creator data and metrics are provided for informational purposes and Larte does not guarantee their accuracy or completeness.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LARTE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL LARTE'S AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID LARTE IN THE PAST TWELVE MONTHS.

9. Arbitration

9.1 Agreement to Arbitrate. You and Larte agree that any dispute arising out of or relating to this Agreement or the Services shall be resolved through binding arbitration, except that either party may seek injunctive relief in court for intellectual property infringement.

9.2 Class Action Waiver. All disputes must be brought in an individual capacity and not as a class action or representative proceeding.

9.3 Opt-Out. You may opt out of this arbitration agreement by sending written notice to support@larte.ai within 30 days of first accepting this Agreement.

10. General Provisions

10.1 Governing Law. This Agreement shall be governed by the laws of the State of Delaware, without regard to conflict of law principles.

10.2 Entire Agreement. This Agreement constitutes the entire agreement between you and Larte regarding the Services and supersedes all prior agreements.

10.3 Modifications. Larte reserves the right to modify this Agreement at any time. We will notify you of material changes by posting the updated Agreement on the Services. Your continued use of the Services after such changes constitutes acceptance.
